Terms and conditions for using Craxy AI

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between Bluehall Technologies, LLC ("Company," "we," "our," or "us") and you ("User," "you," or "your") regarding your use of the Craxy AI® platform ("Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.
Important: These Terms are governed by Maryland state law. By using our Service, you consent to the jurisdiction of Maryland courts.
2. Service Description
Craxy AI is an AI-powered proposal writing and RFP analysis platform that helps businesses create winning proposals through:
- Automated RFP analysis and requirement extraction
- AI-powered content generation and writing assistance
- Readiness checking and proposal optimization
- Professional document export (Word, PDF)
- Knowledge base management and collaboration tools
- Custom branding and template management
- In-app support chat powered by AI with human intervention when needed
The Service is provided on a subscription basis with various pricing tiers and features as described on our website.
3. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding agreements
- Provide accurate and complete registration information
- Use the Service for legitimate business purposes only
- Comply with all applicable laws and regulations
You represent and warrant that you meet these eligibility requirements and that your use of the Service will not violate any applicable law.
4. Account & Security
Account Registration
You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Security Responsibilities
- Use strong, unique passwords
- Keep your login credentials confidential
- Notify us immediately of any unauthorized access
- Log out of shared or public computers
- Use two-factor authentication when available
Account Accuracy
You must provide accurate, current, and complete information during registration and keep your account information updated.
5. Subscription & Billing
Subscription Plans
We offer various subscription plans with different features and usage limits. Current pricing and features are available on our website and may change with notice.
Free Plan
We offer a Free plan with no time limit and no payment method required. It includes one complete proposal each month and the features listed on our pricing page. Paid plans start when you choose one and are billed in advance.
Payment Processing
Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for the subscription fees. You are responsible for all applicable taxes.
Billing Cycle
Subscription plans are billed monthly or annually in advance, depending on the selected billing cycle. All sales are final and fees are non-refundable except as required by law.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of your billing period.
Refund Policy
All sales are final. We do not provide refunds for subscription fees, including partial refunds for unused portions of your subscription period. This policy applies to all subscription plans and subscription periods.
However, you have the right to cancel your subscription at any time, which will prevent future charges. Cancellation can be done through your billing settings by logging into your Craxy AI account. Once cancelled, you will retain access to paid features until the end of your current billing period.
Price Changes
We may change our pricing with 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewals.
6. Acceptable Use
Permitted Uses
You may use the Service to:
- Create and manage business proposals and RFPs
- Analyze RFP requirements and generate compliant responses
- Collaborate with team members on proposal development
- Export documents for legitimate business purposes
- Manage knowledge bases and templates
Prohibited Activities
You may not use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious software or harmful content
- Attempt to gain unauthorized access to our systems
- Reverse engineer or attempt to extract source code
- Use the Service for illegal or fraudulent activities
- Share account credentials with unauthorized users
- Spam or send unsolicited communications
- Upload content that violates third-party rights
Content Restrictions
You are responsible for ensuring that all content you upload or create complies with applicable laws and does not infringe on third-party rights. We reserve the right to remove content that violates these restrictions.
7. Intellectual Property
Your Content
You retain all rights, title, and interest in your content, including proposals, documents, and other materials you create or upload to the Service.
By using the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.
Our Intellectual Property
The Service, including its design, functionality, and underlying technology, is owned by Bluehall Technologies, LLC and protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.
AI-Generated Content
Content generated by our AI features is based on your input and our algorithms. You own the rights to AI-generated content created for your use, subject to the limitations in our AI Services Disclaimer.
8. AI Services Disclaimer

Human Review Required: All AI-generated content should be reviewed, edited, and approved by qualified personnel before use. AI-generated content is provided as assistance only and should not be used without appropriate human oversight.
AI Limitations
- AI-generated content may contain errors or inaccuracies
- AI may not understand complex business requirements
- AI-generated content may not comply with specific regulations
- AI responses are based on training data and may be outdated
- AI cannot replace human judgment and expertise
Your Responsibility
You are solely responsible for:
- Reviewing and validating all AI-generated content
- Ensuring compliance with applicable laws and regulations
- Verifying accuracy and completeness of proposals
- Obtaining necessary approvals before submission
- Any consequences of using AI-generated content
AI-Powered Support Chat
Ask Rumi and our other AI chatbot features provide automated information and assistance only. Responses may be inaccurate, incomplete, outdated, or fabricated, even when they sound confident. This includes statements about Craxy AI, Bluehall Technologies, LLC, product features, pricing, availability, security, account issues, troubleshooting, and RFP or other procurement requirements. Do not use chatbot responses as the sole basis for purchasing, business, compliance, or submission decisions.
No authority to make commitments: AI chatbot responses are not legal, financial, procurement, or other professional advice. The chatbot is not authorized to enter into or modify agreements, make binding representations or warranties, approve discounts or refunds, promise feature availability, or commit the Company to actions or outcomes. A chatbot response does not change your applicable agreement, order form, subscription terms, or our published policies. Confirm material product or Company statements with authorized human staff in writing before relying on them; consult the current plan terms, checkout details, and official documentation as applicable.
Independent verification required: For an RFP, RFQ, grant, or other solicitation, verify guidance against the issuing authority's original documents, amendments, official clarifications, deadlines, eligibility rules, evaluation criteria, and required forms and attachments. Obtain qualified professional review when appropriate. Chatbot guidance does not guarantee that a bid is eligible, complete, compliant, accepted, or successful, and does not replace your review of the applicable solicitation.
A chatbot statement that an issue has been resolved, an account has been changed, or a submission or other action has been completed is not, by itself, confirmation that the action occurred. Check the relevant account or submission records, or obtain confirmation from authorized human staff. You may request human support when an answer is uncertain or an issue remains unresolved. Escalation does not guarantee a particular response time, resolution, or outcome. Human support participants are identified separately from the AI assistant. Chat transcripts are handled as described in our Privacy Policy.
To the maximum extent permitted by applicable law, chatbot responses are provided without warranties of accuracy, completeness, currency, or fitness for a particular purpose, and are subject to Sections 10 and 11 of these Terms. Nothing in this disclaimer overrides an express commitment in a binding agreement with the Company, excludes liability that cannot lawfully be excluded, or limits your non-waivable consumer or other statutory rights.
No Warranty for AI Content
We make no warranties regarding the accuracy, completeness, or suitability of AI-generated content. You use AI features at your own risk and discretion.
Document Analysis and Form Detection
Craxy AI uses artificial intelligence to analyze uploaded documents and identify required forms, certifications, and attachments within RFPs, RFQs, and other solicitation documents. While we strive to detect all required submission items, the accuracy of form detection depends on the format, structure, and quality of the source documents. Due to the nature of varying document types, layouts, and formatting:
- Some required forms or attachments may not be identified by our AI analysis
- Scanned documents, image-based PDFs, or non-standard formats may yield incomplete results
- Forms split across multiple documents or embedded within narrative sections may be missed
- Page numbers and document references provided by the AI may not always be accurate
Craxy AI is a tool designed to assist you in writing and organizing proposals — it is not intended to replace your professional judgment. You are solely responsible for carefully reviewing each solicitation's requirements and ensuring that all required forms, certifications, and attachments are included in your final submission.
Craxy AI, Bluehall Technologies LLC, and its affiliates shall not be held liable for any missed forms, incomplete submissions, or any consequences resulting from reliance on AI-generated form detection without independent verification by the user.
9. Data Processing
Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to our data practices as described in the Privacy Policy, including our use of supported third-party AI model providers for content generation, analysis, and related features. Workspace owners and admins may choose among available providers. We take customer data seriously and do not sell your data.
Data Security
We implement comprehensive security measures to protect your data:
- AES-256-GCM encryption for sensitive data at rest
- TLS/HTTPS encryption for all data in transit
- Secure password hashing using bcrypt
- Comprehensive audit logging of security-sensitive activities
- Multi-tenant data isolation
Data Export Rights
You have the right to export your data at any time. We provide data export functionality through your account settings that allows you to download:
- Your profile and account information
- All proposals and documents you have created
- Knowledge base documents and files
- Activity and usage history
Data exports are provided in portable JSON format. All export activities are logged for security purposes.
Account Deletion
You may request complete deletion of your account and all associated data at any time through your account settings. Account deletion is immediate and permanent - all your data will be irreversibly removed from our systems. We recommend exporting your data before requesting account deletion.
10. Warranties
Service Availability
We strive to provide reliable service but cannot guarantee uninterrupted availability. The Service is provided "as is" and "as available" without warranties of any kind.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability and fitness for a particular purpose
- Warranties regarding accuracy, reliability, or completeness
- Warranties that the Service will be uninterrupted or error-free
- Warranties regarding security or freedom from viruses
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BLUEHALL TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Service interruptions or downtime
- Errors or omissions in AI-generated content
- Third-party actions or content
- Any damages exceeding the amount paid for the Service
Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bluehall Technologies, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or AI-generated content you use
- Your violation of applicable laws
13. Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.
Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Maryland, rather than in court. Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association.
You waive any right to participate in class action lawsuits or class-wide arbitration against us.
Exceptions
Either party may seek injunctive relief in court to prevent irreparable harm or to enforce intellectual property rights.
14. Termination
Termination by You
You may terminate your account at any time by canceling your subscription and requesting account deletion through your account settings or by contacting us.
Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activities
- Fail to pay subscription fees
- Misuse the Service or compromise its security
Effect of Termination
Upon termination, your access to the Service will cease, and we may delete your account and data according to our data retention policies. Provisions that by their nature should survive termination will remain in effect.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email notification to registered users
- Displaying a notice in the Service
Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service.
Support and marketing calls
If you leave the calling option selected when submitting signup or your Google/Microsoft phone-number form, you authorize Bluehall Technologies, LLC (Craxy AI) to contact the number you provide for support, product demos, training, offers and feature updates. Calls may use an AI-generated voice and may be recorded.
This choice is optional and separate from email updates. You may uncheck it before submitting without affecting account creation or purchases. You can withdraw permission at any time by telling the caller not to call you or contacting us at hello@craxy.ai. We honor phone opt-outs across CRM contacts sharing that number.
We retain the submitted choice, notice version, phone number, timestamp and timezone to manage calling permissions and local calling hours. Call recordings and transcripts support customer service and staff follow-up. We do not sell customer data to anyone. See our Privacy Policy for more information about data handling.
