The Delaware government authority is seeking a qualified legal services provider to act as outside general counsel and public housing authority counsel. The agency needs to solve the challenge of managing complex real estate transactions, regulatory compliance, and landlord-tenant litigation. The selected contractor will conduct and manage real estate closings, with a demonstrated capacity to complete a minimum of fifteen multifamily closings annually. The scope of work covers drafting, reviewing, and negotiating loan agreements, mortgages, regulatory agreements, and security instruments. The agency requires advice on structuring complex financing arrangements, including layered subsidies, as well as support for underwriting, closing processes, and due diligence reviews. The contractor will also represent the agency in negotiations with developers, investors, and public entities, and provide legal memoranda and risk analyses. For housing management counsel, the contractor will represent the agency in landlord-tenant litigation and administrative proceedings. The agency requires legal support for Rental Assistance Demonstration repositioning transactions and compliance with Department of Housing and Urban Development regulations. The contractor will counsel the agency on fair housing matters, draft housing assistance payment contracts, and provide legal opinions and litigation strategy. Eligibility is restricted to onshore organizations based in the United States of America. The agency is looking for proposals to determine the budget for these legal services.
