Scope of work
- Assist in developing the legal and structural framework for any bond issues.
- Supervise bond proceedings, through the preparation of various documents necessary or appropriate for authorization, issuance, sale and delivery of bonds.
- Preparation and/or review of necessary local borrower documents, including local government financing agreements, financing leases, and tax certificates.
- Coordinate the preparation and management of offering documents throughout the review process and incorporate comments from the financing team.
- Provide guidance and direction to VRA staff to ensure compliance with federal tax and securities laws and regulations.
- Make recommendations for enhancements to VRA programs and help in the development of new programs.
- Advise the Authority on matters relating to outstanding obligations, such as changes in use, restructurings, refinancings, etc.
- Pursue validation proceeding, private letter rulings, or dispute resolution as may be needed.
